This website is operated by Lockey Safety Products Co., Ltd. under the trade name PROLOCKEY Official Store (“PROLOCKEY,” “we,” “us,” or “our”). By visiting our website, requesting a quotation, placing an order, or purchasing any product, you agree to these Terms of Service.

These Terms apply to all users of the website, including browsers, customers, distributors, contractors, and other business users. If you do not agree to these Terms, please do not use the website or place an order.

1. ELIGIBILITY AND CUSTOMER RESPONSIBILITY

You must have the legal capacity and authority to enter into a binding agreement. If you place an order on behalf of a company or organization, you confirm that you are authorized to bind that entity.

Our products are primarily intended for industrial, commercial, workplace-safety, maintenance, and professional lockout/tagout applications. Customers are responsible for selecting products suitable for their equipment, procedures, operating environment, and applicable safety regulations.

1. PRODUCT INFORMATION AND SAFETY

We make reasonable efforts to present accurate product descriptions, specifications, dimensions, photographs, certifications, compatibility information, and availability. Product colors, packaging, markings, and minor construction details may vary due to production improvements or screen settings.

Lockout/tagout products must be selected, installed, inspected, maintained, and used by properly trained personnel. Product information provided on this website does not replace a workplace risk assessment, professional safety advice, employee training, or compliance with applicable laws and standards.

Please contact us before ordering if you require confirmation of specifications, certifications, materials, keying systems, chemical resistance, operating conditions, or product compatibility.

1. QUOTATIONS AND ORDER ACCEPTANCE

An automated order confirmation only confirms that we have received your order. It does not constitute final acceptance of the order.

We may review product availability, quantities, pricing, shipping requirements, destination restrictions, customization details, and payment status before accepting an order. We may contact you if additional information, revised pricing, freight approval, or product confirmation is required.

We reserve the right to reject or cancel an order before shipment where there is a pricing error, product unavailability, payment issue, suspected fraud, destination restriction, compliance concern, or other reasonable business reason. Any amount already received for a canceled order will be handled according to the applicable payment method and law.

1. PRICES, MINIMUM ORDERS, TAXES, AND DUTIES

Unless otherwise stated, prices are displayed in United States dollars (USD). Prices may change without notice, but confirmed orders will not be changed unless the customer approves a revised quotation or an obvious pricing error must be corrected.

The online store may require a minimum order value of USD 50. Individual products may also have minimum order quantities shown on their product pages, quotations, or order confirmations.

Product prices generally exclude shipping charges, import duties, customs clearance fees, VAT, sales tax, and other destination-country charges unless expressly stated otherwise. Customers are responsible for applicable taxes, duties, and import costs, except where Shopify or applicable law requires us to collect them at checkout.

1. PAYMENT

Available payment methods may include credit or debit card payments processed by PayPal or another authorized provider, PayPal services, and bank deposit.

Orders are not released for production or shipment until the required payment has been received and verified, unless written credit terms have been agreed in advance.

For bank deposit orders, our sales team may issue a Proforma Invoice containing verified company payment details. Customers must include the order or invoice number in the payment reference. Do not send funds to an account that is not shown on an official PROLOCKEY invoice or confirmed through our official email address.

Payment processing may be subject to additional terms and fees imposed by the payment provider.

1. CUSTOM, ENGRAVED, AND MADE-TO-ORDER PRODUCTS

Custom products may include engraving, private labeling, logo printing, special colors, custom packaging, keyed-alike systems, keyed-different systems, master-key systems, custom kits, stations, cabinets, boards, and other non-standard configurations.

Customers are responsible for checking and approving all artwork, spelling, numbering, keying schedules, technical drawings, dimensions, samples, and specifications before production.

Production may begin after written approval and receipt of the required payment or deposit. Once production begins, customized, engraved, private-label, specially keyed, or made-to-order products generally cannot be changed, canceled, returned, or refunded unless they are defective, incorrectly produced, or mandatory law provides otherwise.

1. SHIPPING AND DELIVERY

Shipping terms are governed by our published Shipping Policy and any written quotation, Proforma Invoice, order confirmation, or agreed Incoterm.

For international orders, freight may not be included in the checkout total. Where the checkout displays “Freight not included — quoted after order review,” our team will review the order and provide a separate freight quotation before production or shipment. Freight charges must be approved and paid as instructed.

Delivery dates are estimates and are not guaranteed. Customs inspections, carrier delays, weather, public holidays, force majeure events, incorrect addresses, and destination-country requirements may affect delivery.

Risk of loss and title transfer according to the shipping term or Incoterm stated in the quotation or order confirmation. If no specific term has been agreed, applicable law will determine the transfer of risk and title.

1. INSPECTION, RETURNS, AND REFUNDS

Customers should inspect shipments promptly after delivery and notify us of missing, damaged, defective, or incorrect products as soon as reasonably possible. Please retain the products, packaging, shipping labels, photographs, and other evidence needed to investigate a claim.

Returns, cancellations, exchanges, and refunds are subject to our published Refund and Return Policy. Return authorization may be required before products are sent back.

Standard unused products may be eligible for return under the conditions stated in that policy. Customized, engraved, private-label, specially keyed, made-to-order, used, installed, damaged, or altered products may not be returnable unless defective or required by applicable law.

Nothing in these Terms limits any mandatory consumer right that cannot legally be excluded.

1. AVAILABILITY AND ERRORS

Products may be discontinued, revised, substituted, restricted, or temporarily unavailable. We may limit product quantities, sales channels, customer locations, or geographic destinations.

We reserve the right to correct typographical errors, inaccurate descriptions, incorrect prices, shipping errors, or omissions. If an error materially affects an order, we will contact the customer to confirm the correction or cancel and refund the affected order where appropriate.

1. ACCEPTABLE USE

You may not use this website or our products for unlawful, fraudulent, abusive, infringing, or harmful purposes. You must not:

• Submit false customer, payment, shipping, or company information
• Attempt unauthorized access to the website or related systems
• Introduce malware, malicious code, automated scraping, or disruptive technology
• Copy or exploit website content without permission
• Infringe intellectual property, privacy, or other legal rights
• Resell products in a misleading manner or make unauthorized claims on behalf of PROLOCKEY

We may restrict access, cancel orders, or take other reasonable action where misuse or unlawful activity is suspected.

The PROLOCKEY name, logos, product images, catalogs, drawings, website design, text, videos, graphics, technical materials, and other content are owned by or licensed to Lockey Safety Products Co., Ltd. and are protected by applicable intellectual-property laws.

Website access does not grant permission to reproduce, modify, publish, distribute, sell, or commercially exploit our content, trademarks, product photographs, certificates, or technical documents without prior written authorization.

1. THIRD-PARTY SERVICES AND LINKS

The website may use or link to services provided by Shopify, PayPal, payment processors, shipping carriers, mapping services, analytics providers, and other third parties.

We are not responsible for the independent content, security, availability, privacy practices, or terms of third-party websites and services. Your use of those services may be governed by separate terms.

1. WARRANTIES AND DISCLAIMERS

Products are supplied according to the confirmed specification, applicable product documentation, and any written warranty provided for the product.

To the maximum extent permitted by law, the website and its content are provided on an “as available” basis. We do not guarantee that the website will always be uninterrupted, error-free, or suitable for every customer’s intended application.

We do not exclude or limit warranties, guarantees, or remedies that cannot legally be excluded under applicable law.

1. LIMITATION OF LIABILITY

To the maximum extent permitted by law, PROLOCKEY will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, lost production, loss of business opportunity, or loss of data, arising from the website, products, shipping delays, or misuse of products.

Where liability cannot be excluded, our aggregate liability relating to a particular order will not exceed the amount paid for the affected products, except where applicable law requires otherwise.

Nothing in these Terms excludes liability for fraud, intentional misconduct, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited.

1. INDEMNIFICATION

To the extent permitted by law, business customers agree to indemnify PROLOCKEY against third-party claims, losses, and reasonable costs resulting from their unlawful use of the website, unauthorized modification or misuse of products, violation of these Terms, or infringement of another party’s rights.

1. FORCE MAJEURE

We are not responsible for delay or failure caused by events reasonably beyond our control, including natural disasters, fire, flood, epidemic, war, civil unrest, government action, sanctions, labor disputes, power failures, material shortages, transportation disruption, customs delays, or telecommunications failures.

We will make reasonable efforts to notify affected customers and resume performance when practicable.

1. PRIVACY

Our collection and use of personal information are governed by our published Privacy Policy. By using the website, you acknowledge that information may be processed by Shopify, payment providers, shipping providers, and other service providers needed to complete your transaction.

1. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.

Any dispute should first be addressed through good-faith negotiation. If a dispute cannot be resolved, it may be submitted to a court of competent jurisdiction at the Seller’s registered location, except where mandatory consumer law provides another applicable right or forum.

1. SEVERABILITY AND WAIVER

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision does not constitute a waiver of that provision or any other right.
